Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Client", "you", "your") and Web Technomatic Pte Ltd, a company incorporated in Singapore with registration number UEN 202230185C ("we", "us", "our"), governing the use of the online review rating platform accessible via rate.reviewhotspot.com ("Platform") and related services provided by the brand ReviewHotspot.
By registering an account, accessing, or using the Platform, you agree to these Terms. If you do not agree, you must not access or use the Platform.
1. Definitions
Account: The registered account used to access the Platform. Admin Users: Individuals authorised to access and use the Platform. User Data: All data, content, and materials uploaded or entered by Admin Users on the Platform. Fees: Subscription fees payable to access the Platform. Services: The Platform and related support and maintenance services provided by us.
2. Licence to Use
2.1 We grant a limited, non-exclusive, non-transferable licence to access and use the Platform solely for internal business purposes. 2.2 Your licence is limited to the number of users and features subscribed for per registration. 2.3 You must maintain the confidentiality of your Account credentials and accept responsibility for activities under your Account. 2.4 You agree to use the Platform in compliance with applicable laws and not to misuse or reverse engineer the software.
3. User Data and Privacy
3.1 You retain ownership of User Data uploaded or input into the Platform. 3.2 You grant us a non-exclusive, royalty-free licence to host, use, store, process, and display User Data solely to provide and improve the Services. 3.3 We may aggregate anonymised User Data for analytics and reporting; anonymised data will not identify individual users. 3.4 We comply with the Singapore Personal Data Protection Act (PDPA) and applicable data protection laws in handling personal data. Please refer to our Privacy Policy for detailed information on data collection, use, storage, and user rights. 3.5 We implement reasonable technical and organisational measures to protect User Data against unauthorised access, disclosure, alteration, or destruction.
4. Fees and Payment
4.1 You agree to pay Fees in accordance with your selected subscription plan. 4.2 Fees are exclusive of taxes; you are responsible for paying any applicable taxes. 4.3 Fees are payable in advance for the billing period. 4.4 Failure to pay Fees when due may result in suspension or termination of access to the Platform. 4.5 We may adjust Fees annually with at least 30 days' prior notice.
5. Support and Maintenance
5.1 We provide first-level support via email during Singapore business hours (09:00 - 17:00 SGT). 5.2 We maintain the Platform, including issuing updates, bug fixes, and improvements. 5.3 Maintenance updates will not materially degrade existing functionality. 5.4 We aim to maintain Platform availability but do not guarantee uninterrupted or error-free service.
6. Confidentiality
6.1 Each party agrees to keep confidential any information designated as confidential or which ought reasonably to be considered confidential. 6.2 Confidentiality obligations extend to employees, contractors, and agents who need access to such information.
7. Intellectual Property Rights
7.1 All intellectual property rights in the Platform and associated software remain with us or our licensors. 7.2 Your use of the Platform does not grant ownership rights beyond the licence to use it. 7.3 You shall not copy, modify, create derivative works, reverse engineer, or otherwise infringe any intellectual property rights.
8. Termination
8.1 Either party may terminate these Terms by providing written notice during the initial trial subscription period. 8.2 We may terminate immediately upon breach of these Terms, including failure to pay Fees. 8.3 Upon termination, your access will cease, and you shall delete or return all confidential information as requested. 8.4 Upon request made within 30 days of termination, we will provide one backup copy of User Data for a reasonable fee.
9. Limitation of Liability
9.1 Our total liability in connection with these Terms shall not exceed the total Fees paid in the six months prior to the claim arising. 9.2 We exclude liability for indirect, special, or consequential losses, including loss of profits, business, goodwill, or data corruption. 9.3 We do not guarantee uninterrupted or error-free access but will use reasonable efforts to maintain availability. 9.4 Nothing in these Terms limits liability for death or personal injury caused by negligence or fraud.
10. Indemnity
10.1 You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, or expenses arising from your misuse of the Platform, breach of these Terms, or violation of any law or third-party rights.
11. Refund and Cancellation
11.1 Refunds are not provided except where required by law or at our sole discretion. 11.2 You may cancel your subscription at any time by providing written notice; cancellation will take effect at the end of the current billing period.
12. User Conduct and Acceptable Use
12.1 You agree not to use the Platform to: Violate any applicable law or regulation; Infringe intellectual property or privacy rights; Transmit harmful or malicious code; Engage in fraudulent or abusive behaviour; Interfere with the security or operation of the Platform.
13. Security and Data Breach Notification
13.1 We implement appropriate security measures to protect User Data from unauthorised access or disclosure. 13.2 In the event of a personal data breach likely to result in significant harm or impact to users, we will notify affected users and relevant authorities in accordance with applicable laws.
14. Governing Law and Jurisdiction
14.1 These Terms shall be governed by and construed in accordance with the laws of Singapore. 14.2 Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
15. Dispute Resolution
15.1 The parties agree to attempt good faith negotiation and mediation before commencing court proceedings.
16. Changes to Terms
16.1 We may amend these Terms from time to time by providing at least 30 days' notice via email or update on the website. 16.2 Your continued use after notice constitutes acceptance of the updated Terms.
17. Miscellaneous
17.1 Force Majeure: Neither party shall be liable for failure of performance caused by events beyond reasonable control (e.g., natural disasters, acts of government). 17.2 Severability: If any provision is invalid or unenforceable, the remainder continues in effect. 17.3 Entire Agreement: These Terms together with the Privacy Policy and other referenced policies constitute the entire agreement between the parties regarding use of the Platform. 17.4 Notices: Notices under these Terms must be in writing and sent to official contact emails or addresses.
